The offering comprises 5,714,286 shares issued directly by the Washington-based company, alongside 11,285,714 shares sold by existing stockholders. Lyntris will not receive proceeds from the secondary portion of the sale. Underwriters hold a 30-day option to purchase up to 2,550,000 additional shares to address potential overallotments.
Lyntris plans to allocate the net proceeds from the offering to settle approximately $60 million in debt under a new revolving credit facility. Any remaining capital is earmarked for working capital, operational expenses, and ongoing development of its "sense-to-act" technology designed for multi-domain combat environments. The transaction is slated to close on August 20, 2026.
A syndicate of financial institutions is managing the offering, led by Evercore ISI, Citigroup, and Guggenheim Securities, with BofA Securities serving as a joint book-running manager. The Securities and Exchange Commission declared the company’s registration statement effective on August 18, 2026.
