Ecopetrol Recalls Bondholders to Vote on Solar Energy Merger

Ecopetrol has issued a second call for bondholder meetings after initial sessions failed to reach the required quorum. Investors holding domestic public debt from 2010 and 2013 issuances will reconvene on September 4, 2026, to decide on the proposed absorption of the solar firm Parque Solar Portón del Sol S.A.S.

The upcoming meetings, facilitated by Alianza Valores Fiduciaria S.A. and Itaú Fiduciaria Colombia S.A., aim to finalize the corporate merger previously approved by Ecopetrol's shareholders on March 27, 2026. Because the first attempt to gather the necessary decision-making quorum was unsuccessful, this second convening relies on revised regulatory protocols to move the proposal forward.

Bondholders can participate in person at the Centro de Innovación Bogotá or via a virtual platform provided by Deceval S.A. The agenda for both sessions includes a formal presentation of the merger report, reviews of opinions from the bondholders' legal representatives, and an assessment of findings from Fitch Ratings Colombia S.A.S. The 2010 issuance meeting is scheduled for 2:00 p.m., while the 2013 issuance meeting follows at 3:30 p.m. local time.
