The litigation claims the company misled shareholders regarding its high-end integrated circuit product pipeline, masking severe operational bottlenecks behind optimistic financial guidance throughout early 2026.

The legal action, spearheaded by Hagens Berman, centers on the period between December 10, 2025, and May 27, 2026. Plaintiffs contend that Photronics management repeatedly assured the market of robust global demand and healthy order patterns, even as the company faced significant pressure from elevated fab usage rates and rising equipment costs. These internal struggles allegedly contradicted the positive outlook provided to investors.

The discrepancy came to light on May 28, 2026, when the firm disclosed disappointing second-quarter results. Revenue dropped, IC product sales fell by 11%, and operating margins tightened. The company attributed the shortfall to a failed seasonal recovery and operational issues, triggering a 36% collapse in share price that erased more than $1.1 billion in market capitalization. Reed Kathrein, the Hagens Berman partner overseeing the investigation, stated the firm is now working to determine exactly when management became aware of the deteriorating demand for its IC products. Investors who acquired securities during the class period are encouraged to report their losses to the firm before the upcoming court-mandated deadline.
