The consolidation will take effect at 12:01 a.m. Eastern Time, with trading on the Nasdaq Capital Market continuing under the existing ticker symbol SUGP. Following the adjustment, the company’s par value per share will shift from HK$0.000005 to HK$0.00003, and a new CUSIP number, G8552M158, will be assigned to the shares.
Investors holding shares in book-entry form or through brokerage accounts will see their positions automatically adjusted by the transfer agent, Transhare Corporation, requiring no manual intervention. However, holders of physical stock certificates must submit their documents along with a letter of transmittal to receive new certificates. Outstanding warrants, stock options, and restricted share units will also undergo proportional adjustments to reflect the new ratio. The company stated that it expects trading to continue without disruption as it maintains compliance with Nasdaq listing requirements.
