Organigram to Acquire Sanity Group in $269 Million European Push

Organigram Global has entered an agreement to acquire Germany’s Sanity Group for up to €227.2 million ($269.4 million), a move designed to cement the Canadian producer’s position in Europe’s rapidly liberalizing cannabis market. The deal, expected to close in the second quarter of 2024, combines cash and stock to absorb the Berlin-based firm, which currently holds the second-largest market share in Germany.

The acquisition follows Germany's landmark 2024 cannabis law reform, which has simplified the prescription process for physicians and broadened patient access. By integrating Sanity Group, Organigram secures a foothold in a market experiencing a surge in medical adoption. Beyond Germany, the transaction extends Organigram’s reach into Switzerland, Poland, the United Kingdom, and Czechia, signaling an aggressive expansion across the continent.

The deal’s structure includes an upfront payment of €80 million in cash and €33.4 million in Organigram shares. The shares are priced at C$3.00, representing a 71% premium over the recent closing price on the Toronto Stock Exchange. An additional earnout of up to €113.8 million is contingent on Sanity Group’s financial performance over the 12 months following the close, consisting of €20 million in cash and up to €93.8 million in equity.

Financing and Strategic Support

To fund the takeover, Organigram plans to utilize a combination of cash on hand and a new credit facility. A critical component of the financing includes an expected C$65.2 million equity investment from British American Tobacco, which continues to back Organigram’s international growth strategy. According to the company, the transaction is slated to conclude in the second quarter of this year.

Organigram states the total deal value could reach €227.2 million, depending on the execution of the earnout provisions. This acquisition represents one of the most significant consolidations in the European cannabis sector since the recent regulatory shifts in Berlin.
