UniCredit eyes stake in Generali through Delfin share swap

UniCredit has approached the Del Vecchio family’s holding company, Delfin, with a proposal to more than double its stake in insurer Generali to just under 20%. The plan, reported by Il Sole 24 Ore, seeks an ambitious consolidation of Italian financial power through a complex, non-cash exchange of assets.

The proposed transaction involves UniCredit acquiring Delfin's 10% shareholding in Generali in exchange for 5% of its own equity. Such a move would effectively transform Delfin into one of the bank's primary shareholders with an 8% stake. Despite the strategic implications for both institutions, the Luxembourg-based holding company rejected the offer, citing concerns over the deal's financial valuation. It remains uncertain whether the negotiations have collapsed entirely or are merely on hold. Representatives for both UniCredit and Delfin declined to provide comment on the report.
