Investors Face November Deadline in Dun & Bradstreet Fraud Lawsuit

Investors who held or exchanged Dun & Bradstreet Holdings, Inc. stock during the company’s 2025 merger with Clearlake Capital affiliates have until November 10, 2026, to file as lead plaintiffs in a pending securities fraud class action lawsuit currently being organized by the Rosen Law Firm.

The litigation centers on allegations that Dun & Bradstreet misled shareholders through its March 2025 merger announcement and subsequent proxy materials. Plaintiffs claim the company failed to disclose critical information, including Executive Chairman Foley’s personal interest in a rapid sale and the existence of superior financial alternatives identified by Bank of America Securities. The complaint further asserts that the company misrepresented the nature of the transaction, framing it as an arm’s-length strategic review while allegedly concealing material ties between the chairman and key financial advisors.

Eligible investors include those who sold common stock between May 13 and August 26, 2025, or those who participated in the $9.15-per-share cash exchange during the merger. While a class action has been filed, no class has yet been certified. Investors may choose their own counsel or remain absent members, as serving as a lead plaintiff is not a requirement to participate in potential future recoveries. Those interested in assuming a lead role must petition the court by the November deadline.
