AbbVie to Acquire Apogee Therapeutics for $10.9 Billion

AbbVie has reached a definitive agreement to acquire Apogee Therapeutics in an all-cash transaction valued at $10.9 billion, a move designed to bolster its immunology portfolio with a suite of late-stage clinical assets targeting atopic dermatitis and asthma.

Under the terms of the deal, AbbVie will pay $135.11 per share for all outstanding Apogee stock. The transaction, which has received unanimous approval from the boards of both companies, is slated to close in the third quarter of 2026, pending regulatory clearance and shareholder approval.

At the center of the acquisition is zumilokibart (APG777), a monoclonal antibody targeting IL-13 that has shown promise in treating atopic dermatitis. By incorporating Apogee’s pipeline—including the combination therapy APG273 for asthma—AbbVie aims to accelerate its expansion into the respiratory market. Robert A. Michael, CEO of AbbVie, stated that the acquisition provides the scale and scientific expertise required to translate these clinical-stage candidates into new standards of care for inflammatory diseases. Apogee CEO Michael Henderson noted that the deal validates the company's research, positioning its portfolio for broader reach under AbbVie’s established clinical infrastructure.
