The all-cash and stock deal, valued at approximately US$498.5 million, grants SSR Mining the Converse project, situated directly adjacent to its Marigold mine. The company expects this synergy to boost its annual U.S. output to between 350,000 and 400,000 ounces of gold. Converse alone is projected to contribute 150,000 to 170,000 ounces of average annual production, though bringing the site online requires an estimated capital investment of $800 million to $900 million.
Under the terms, Roxmore shareholders receive C$6.75 per share in cash, representing a 27% premium over the stock's closing price last Friday. The agreement also includes a spinoff of exploration assets into a new entity, Roxmore SpinCo, which will be led by Roxmore CEO John Dorward. This new company, funded with $10 million in cash, will hold interests in the Rattlesnake Hills, Shabu River, and Newton Property projects. Roxmore’s board and its largest shareholders, controlling roughly 27% of the firm, have already signaled their support for the transaction.
