The agreement, signed October 12, 2026, involves FFR acquiring FFAI’s entire robotics business. Under the terms, FFR will issue shares at $2.246 apiece—a 50% premium over the company's market price at the time of signing. The deal, which includes a $10 million private placement, is slated to close by the end of October 2026.

Following the merger, FFAI will maintain a controlling interest of approximately 65.7% in the combined firm. The new entity will leverage a "Four-Core" ecosystem, integrating hardware, developer platforms, and data factories to target a top-three industry ranking within five years. Management projects the robotics business will reach $7 million in revenue by the end of 2026, scaling to nearly $2 billion in cumulative revenue by 2030. The company plans to maintain leadership continuity through existing governance frameworks, ensuring that its "Built in USA" program remains the backbone of its long-term R&D and manufacturing strategy.
